In regards to Prosper's civil liability, actions based on violations of the 1933 Act's registration requirements must be brought within one year of the violation.

 :P

Seems that they are still violating the law since the securities are still oustanding.

I filed an FBI complaint here

These people knew they were selling unregistered securities all along.

I used the following text, I don't know that it is the best, but others could copy paste if they fill out the form. Or not.

The S1 is the only filing on the SEC site, but i see another page with older entries and Prosper being at a different address:
