In regards to Prosper's civil liability, actions based on violations of the 1933 Act's registration requirements must be brought within one year of the violation.

 

Seems that they are still violating the law since the securities are still oustanding.

Prosper lenders are too geographically diverse and diffuse to come together without Prosper.

That's one item they got wrong.
I'm sure Prosper wishes it were true, but geography means nothing on the internet.
