* To calculate Annualized Returns, a total gain or loss is calculated by summing all loan payments received net of principal repayment, credit losses, and servicing costs. The gain or loss is then divided by the average daily amount of principal outstanding to get a simple rate of return. This rate is annualized by dividing by the dollar weighted average Note age of your portfolio in days and multiplying by 365. Lender Promotion Returns include any lender promotional payments you may have received since 2009 and are divided by your Total Dollars Invested for the Purchase Period to get a simple rate of return. This rate is annualized using our estimate of a Prosper Loan's weighted average life, currently 15.9 months. Total Returns are the sum of Annualized Returns and Rebate Returns. All calculations only include Notes not bought or sold on Folio, and some trading strategies will result in a significantly different overall return-on-investment than presented here. These calculations are valid through June 30, 2011, and are likely to change in the future. Diversification is an important component of any portfolio, and Prosper recommends that lenders have at least 100 Notes in their portfolio to safeguard their returns against individual losses. Note that Rebate Returns are not included in the Actual Returns calculation presented on our website.

** This offer begins Saturday, August 20, 2011, at 12:00am PDT and ends Friday, September 30, 2011, at 11:59pm PDT (the "Promotional Period"). To qualify, you must open a new Prosper Investor account and invest $10,000 or more during the Promotional Period. All rebates will be paid by October 31, 2011 (the "Payout Date"). Only investments in loan listings that become funded Notes before the Payout Date will be considered "invested"; investments through the Folio Trading Platform are not eligible. Invested funds can only qualify for one cash back promotion; in the event that a given investment qualifies for more than one such promotion, the investment will count towards each qualification threshold, if applicable, and the lender will be paid the highest available rebate amount. Note: this offer was made to XXXXX at XXXXXX@XXXXXX.com and is non-transferable.
