[...] David Silverman and Larry Cheng have resigned as members of the Board.  Mr. Silverman's resignation was effective as of December 20, 2012 and Mr. Cheng's resignation was effective as of December 22, 2012.  Mr. Silverman was Chairman of the Audit Committee of the Board.  Mr. Cheng was a member of the Risk Committee of the Board.

Jeffrey Jacobs resigned as a member of the Board of Directors (the “Board”) of Prosper Marketplace, Inc., effective as of December 17, 2012.  Mr. Jacobs was not a member of any Board committees.  The Board has not yet determined who will replace Mr. Jacobs.

Yeah, that seems mighty strange.  Either they may have had a serious disagreement with Prosper as you note, or perhaps their "resignations" were less than voluntary?  Either way, it would seem that there is a lot more to the story that hasn't been made public (yet).

On that note, per projections from Prosper's most recent 10-Q financial state filings, they only have 2 more months to secure another round of additional venture capital funding before completely draining their cash reserves and potentially going bankrupt.
