Because even if Prosper were to get a large judgment against them and declare bankruptcy (which in my opinion is unlikely) I think there would be many willing organizations who would jump at the chance to pick up the pieces. And if Prosper can get back on a rapid growth trajectory again then they would become an even more attractive acquisition target. The class action lawsuit is just a one time expense after all.

I was referring to the filing by plaintiffs attorney. They mention five year rule in filing which means trial must. Commence by 11/13/13

I know what you were referring to, but I found the new lawyer more interesting.  

Also as far as that five year thing, I can't imagine judges being very pleased at being ordered around by lawyers in their court.  

"The five year rule mandates trial commence by November 25, 2013"

Since when are judges mandated to do anything?

The five year statute was tolled while the case was on appeal.

Actually not the best example -- the Supreme Court held several years back that the federal Sentencing Guidelines could not constitutionally be mandatory, but were instead only advisory (despite being written with mandatory language).  http://en.wikipedia.org/wiki/United_States_Federal_Sentencing_Guidelines

Some new papers got filed on April 18 and 19th in preparation for the Joint Case Management conference on April 24.

The main dispute seems to be that the plaintiffs in the class action are demanding and outlining a schedule leading to a trial on all issues in November, while the defendants are insisting on a bifurcated trial, with Issue 1 (whether or not Prosper 1 notes are "securities") to be decided first and everything else to be decided later.  The defendant's papers include additional arguments that the court has no obligation under California law to decide everything immediately, and that a bifurcated trial is sppropriate in the situation.
